Confidentiality and disclaimer

As part of my interest in subscribing to the funds managed by Archinvest Management Company, I acknowledge that a certain amount of information relating to the Archinvest funds and its underlying funds will be communicated to me (in written, oral or other form) by Archinvest.

Consequently, I acknowledge and undertake that :

• The information contained in Archinvest's fund documentation relating to its underlying funds and their investments has been derived and/or translated by Archinvest from documents provided by the management companies of the funds underlying Archinvest's funds. Archinvest offers the fund units on the basis of an undertaking to these management companies that they have no liability whatsoever in respect of this information or any other information set out in this documentation provided by Archinvest to its own investors. I undertake to keep this information confidential as well as any information provided by the underlying funds.

• the management companies of the underlying funds of the Archinvest funds make no representation regarding this information or any other information set forth in the marketing materials provided by Archinvest to its investors and expressly disclaim any liability to investors in the Archinvest funds in this regard.

• the characteristics of the underlying funds of the Archinvest funds may be subject to change and may therefore differ from those summarized in the sales documentation of the underlying funds of the Archinvest funds. The management companies of the funds underlying the Archinvest funds are not responsible for updating this information.

• the past performance of investments in the underlying funds of Archinvest funds is no guarantee of the future performance of these underlying funds.

• Archinvest offers its investors the opportunity to acquire interests in a fund managed by Archinvest, which will acquire interests in underlying funds. Consequently, no investor in the Archinvest funds will be a direct investor in these underlying funds. Consequently, no investor in the Archinvest funds will have voting rights in the underlying funds of the Archinvest funds and will have no direct recourse against these underlying funds in connection with a subscription in an Archinvest fund.

• the information provided to Archinvest by the underlying funds of the Archinvest funds is not intended to form the basis of an investment decision and may not be used for, and does not constitute, an offer to sell, or a solicitation of an offer, or an invitation, or a solicitation to subscribe or purchase, or to make commitments for, or with respect to, securities or other interests or to engage in any other transaction relating to the underlying funds. In making an investment decision, investors in Archinvest funds should rely on their own review, with their own advisors, of the terms of the offer, including its benefits and risks.

• Investors in Archinvest funds should not construe the content of the underlying fund documentation of Archinvest funds as legal, investment, accounting or tax advice.

• no underlying fund has approved the Archinvest fund, nor is it liable for any loss, damage, cost or expense arising from an investment in the Archinvest fund concerned.

On the other hand, I acknowledge that an investment in a fund may entail significant risks, in particular of total or partial loss of capital, due, among other things, to the nature of the investments that the fund intends to make. There can therefore be no assurance that the fund's expected rate of return will be achieved, or even that the fund will return to unitholders the amount of capital they have paid in. In particular, past performance is not a reliable indicator of future performance. Investors must therefore have the financial capacity and means to accept the risks and lack of liquidity that are characteristic of the investments described in this presentation.

Finally, I acknowledge that the subscription and acquisition of fund units are reserved for investors mentioned in article L.214-144 of the French Monetary and Financial Code, i.e.: professional clients mentioned in article L.533-16 of the Monetary and Financial Code and in particular those listed in article D.533-11 and foreign investors belonging to a category equivalent to that mentioned below, on the basis of the law of the country to which they belong.

Archinvest SAS is a portfolio management company authorized since September 7, 2022 by the Autorité des Marchés Financiers(www.amf-france.org) under number GP-202221. The company is a société par actions with share capital of €1,304,351, headquartered at 28 cours Albert 1er 75008 Paris. It is registered in the Paris Trade Register under number 918 501 404. In accordance with regulations, Archinvest SAS has implemented the following policies: a voting policy, a best execution and selection policy, a conflict of interest management policy, a complaints handling policy, a policy for taking ESG criteria into account in investment policy, and a remuneration policy in line with the guidelines of the AIFM and UCITS V directives. These documents are available on request from Archinvest SAS, by post at 28 cours Albert 1er, 75008 Paris, or by e-mail at.

Any client/investor of Archinvest SAS may address their complaints to the Company(contact@archinvest.am). In accordance with article 325-23 of the AMF's general regulations, Archinvest SAS undertakes to respond to a customer/investor's complaint within a maximum of two months from the date on which the complaint is sent, except in duly justified special circumstances. If the customer/investor feels that he/she has not received an appropriate response within a reasonable time, he/she may contact the AMF Ombudsman(www.amf-france.org/Le-mediateur-de-l-AMF/Presentation) by writing to 17 place de la Bourse 75082 Paris cedex 2.

This Site is a digital platform designed to enable individual investors, asset managers and family offices to invest directly and seamlessly in a wide range of private equity funds and co-investment opportunities selected by the Archinvest team. 

Adherence to the General Terms of Use

The present General Terms and Conditions of Use (hereinafter "GTCU") are accessible on all pages of the Site. The GCU come into force on the date they are posted online and are enforceable against any User wishing to access the Site.

The GTCU may be modified at any time by Archinvest, without prior notice, and any modification shall take effect immediately. For this reason, the User is invited to consult the GTCU regularly. It is the responsibility of each User to carefully read these GTC and, where applicable, any subsequent versions, before accessing any pages contained on this Site. Consultation and use of this Site implies unreserved acceptance of the GCU as well as compliance with the legal and regulatory provisions in force, and each User who accesses the Site and/or registers on the Site and/or creates or uses an account accepts unreservedly these GCU as well as all applicable legal and regulatory provisions. Conditions of access and use

The User acknowledges that he/she has the necessary skills and means to access and consult the Site.
